Software Licence

For the period and number of devices allowed by your plan or order, Stem grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the software for your internal lawful business operations.

• Install only on devices you control or are authorised to administer.
• Keep device enrolment credentials, account credentials and PINs confidential.
• Do not defeat device, plan, offline-entitlement, feature or user limits.
• Install security and compatibility updates within a reasonable time.
• Back up and synchronise records before resetting, selling, repairing or replacing a device.

You may not copy, rent, lease, resell, sublicense, publish, scrape, modify, translate, reverse engineer, decompile or create derivative works from the software except where mandatory law expressly permits it. You may not remove ownership notices or use the software to build a competing service.

Updates may fix security or compatibility issues and may be required for cloud access. Open-source and third-party components remain subject to their applicable notices and licences, available through the application or distribution materials.

Offline availability varies by platform, plan, enrolment and feature. Locally stored records can be lost through device damage, reset, storage failure or prolonged disconnection. A local action does not prove that a cloud, payment, message or authority action succeeded.

Where obtained through Apple or Google, the relevant store is not responsible for Stem’s support, product claims or service operation except to the extent its own terms say otherwise. Store billing, cancellation and refund rules govern the store transaction. Apple and its subsidiaries are third-party beneficiaries of this licence for an iOS download and may enforce the applicable licence terms.

The software is licensed, not sold. Stem and its licensors keep all rights not expressly granted. Stem provides paid software with reasonable skill and care, subject to mandatory law and any express warranty in your order.

The licence ends when the relevant account, plan or order ends, or for a material breach that is not cured after reasonable notice where cure is possible. When it ends, stop using and uninstall the software, while retaining business records you are legally required to keep.

You must comply with applicable trade, export, sanctions and local-use laws and must not use the software where prohibited. You represent that you are not located in or controlled by a person or territory where providing the software would be unlawful.
