User Agreement
This is the contract between Stem and the person or organisation that creates, buys, administers or uses a Stem account. If you act for a business, you confirm that you have authority to bind it.

1. What this agreement covers
The Services are the Stem website, cloud APIs, Stem Business OS, Stem POS, Stem Invoicing, installed applications, synchronisation, support, receipt verification, reporting and marketplace features included in your plan or order.
The Privacy Policy, Software Licence, Data Processing Addendum, refund rules and the order shown before payment form part of this agreement.
2. Who may use Stem
You must be at least 18, able to enter a contract and use Stem for a lawful business, profession or organisation. You must give accurate account, business, billing and contact details and keep them current.
If mandatory consumer law applies to you, nothing here removes a right that the law does not allow us to exclude.
3. Accounts, staff and security
- Use individual accounts and assign only the access each person needs.
- Remove access promptly when a staff member leaves or changes duties.
- Protect passwords, PINs, devices, recovery information and device credentials.
- Review activity and tell Stem promptly about suspected unauthorised access.
- Do not bypass authentication, role, plan, licence, device or security controls.
The authorised owner controls the workspace and is responsible for lawful staff administration. You are responsible for activity under accounts you control unless it results from Stem’s breach.
4. Your data and your responsibilities
You keep your rights in the business data you place in Stem. You give Stem a limited right to host, secure, back up, transmit and otherwise process it only to provide and protect the Services, follow lawful instructions and meet legal obligations.
You are responsible for lawful notices and legal grounds for customer, employee, supplier and other personal data you collect. Do not upload passwords from other services, payment-card security codes, biometric identifiers, health records, children’s data or other specially protected information unless Stem has expressly approved that use in writing.
5. Business, payment and tax decisions
Stem is a recordkeeping and operations tool, not your accountant, lawyer, tax adviser, bank, mobile-money operator or insurer. You remain responsible for prices, stock, taxes, invoices, returns, staff permissions and business decisions.
Recording a mobile-money or other payment reference does not mean Stem received, safeguarded, settled or guaranteed the funds. Verify payment with the relevant provider before releasing goods or treating it as final.
Unless a production release and your order expressly say otherwise, tax and EFRIS screens prepare records only. A record is not submitted to or accepted by URA merely because it is queued or visible in Stem.
6. Offline use, syncing and exports
Selected Stem POS work can continue offline. Offline records remain on the device until successful synchronisation. You must protect the device, watch sync status, reconnect at reasonable intervals and export records needed for continuity or legal retention.
A local receipt or draft is not evidence that a cloud, email, payment-provider, app-store or authority transaction succeeded. Review exports and reports before using them for tax, audit, lending or formal accounts.
7. Plans, billing and cancellation
Your plan, billing period, currency, included features and price are the details shown immediately before purchase and confirmed in the receipt or order. Recurring plans renew until cancelled through the route used to buy them. Failed or reversed payment may place paid features in a grace period or read-only state.
Apple App Store and Google Play purchases are billed and managed under the relevant store’s transaction rules. Deleting a Stem account does not automatically cancel a store subscription. See Cancellation & refunds.
8. Acceptable use
- Do not use Stem for unlawful, fraudulent, deceptive, abusive or rights-infringing activity.
- Do not create false sales, receipts, invoices, payment confirmations, customer balances, tax records or audit events.
- Do not sell prohibited, counterfeit, stolen, unsafe or unlawfully imported goods.
- Do not upload malware, overload the service, probe another workspace or gain unauthorised access.
- Do not copy, stream, distribute or sell films, music, software or other protected material without every required licence and territorial right.
- Do not reverse engineer, scrape, resell or sublicense the Services except where mandatory law permits it.
Stem may investigate, preserve evidence, restrict a feature or suspend access when reasonably necessary to stop harm, protect the platform or comply with law. Where safe and lawful, we will give notice and a chance to correct a remediable issue.
9. Service changes and third parties
We provide the Services with reasonable skill and care. Maintenance, security work, device or network failure and third-party outages can affect availability. We may improve features, but will not materially reduce the core of a paid plan during its paid term without reasonable notice, an equivalent option or any cancellation/refund right required by law.
Connected payment, email, cloud, app-store, printer and other services have their own terms. Stem is not responsible for a third party’s network, decision or outage, while remaining responsible for duties the law places directly on Stem.
10. Suspension, closure and deletion
You may cancel renewal and request account or workspace deletion. Stem may suspend or terminate for material breach, non-payment, security risk, unlawful use or a binding legal/provider requirement. Except in urgent security, fraud or legal cases, we will give reasonable notice and a chance to fix a remediable breach.
Before closure, export the records you must keep. After access ends, Stem deletes or de-identifies data under the Privacy Policy and DPA, except backups in rotation and records that must be retained by law. Start at Delete an account.
11. Ownership, warranty and liability
Stem and its licensors own the software, service, documentation, brand and designs; you own your Customer Data. We warrant that we have authority to provide the Services and will provide paid Services with reasonable skill and care.
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, lost profit or loss caused by the other party’s unlawful or inaccurate data, failure to verify payment, failure to sync/export, or unauthorised account use. Nothing limits fraud, wilful misconduct, death or injury caused by negligence, or any liability or mandatory right that law does not permit us to limit.
12. Governing law and disputes
Ugandan law governs this agreement, without removing mandatory protections that apply where you live. Contact us first so we can try to resolve a concern promptly. If that fails, the courts of Uganda have jurisdiction unless mandatory law gives another forum.
We may update these terms for legal, security or product reasons. We will publish the new effective date and give reasonable notice of a material change. A material change may require a fresh affirmative acceptance.
